Terms & Conditions

These Terms and Conditions apply to all services provided by Alisha Design, based in the Netherlands. By using the services of Alisha Design, the client agrees to these terms.

By signing a project proposal or confirming by email, the client acknowledges having read and agreed to these Terms and Conditions.

1. Definitions

In these Terms and Conditions, the following definitions apply:

• Client: The individual or legal entity entering into an agreement with Alisha Design.

• Services: All work provided by Alisha Design, including graphic design, copywriting, branding, web design, social media management, and other digital services.

• Project: An agreed assignment or series of assignments between the client and Alisha Design.

2. Services

Alisha Design offers tailored graphic and digital services. The nature, scope, and duration of the services are detailed in a project proposal, which must be approved by the client in writing or via email.

3. Prices and Payments

3.1 Deposit
The client is required to pay a deposit of 30-50% of the total project cost unless otherwise agreed. The deposit must be paid after approval of the project proposal. Work will not begin until the deposit has been received.

3.2 Final Payment
The remaining balance is due upon project completion and before the transfer of the final files.

3.3 Late Payments
If the client fails to pay on time, Alisha Design reserves the right to suspend or terminate the project. In cases of non-payment, the outstanding amount may be transferred to a debt collection agency, and the client will be responsible for any additional costs incurred.

3.4 Additional Work and Revisions
Any additional work or revisions outside the initial scope will incur an additional fee. This fee will be discussed in advance and outlined in a supplementary agreement or updated invoice.

3.5 Work Before Payment
If a signed project proposal is not followed by payment within the agreed timeframe, Alisha Design reserves the right to invoice the client for any work already completed, including but not limited to the preparation of the proposal, strategic thinking, and preliminary planning. This amount may be calculated proportionally or in full, depending on the time invested.

4. Delivery and Deadlines

4.1 Alisha Design strives to meet the agreed delivery timeframe as outlined in the project proposal.

4.2 Deadlines are established in consultation with the client. Strict deadlines will only be confirmed if feasible and must be documented in the project proposal.

4.3 Delays caused by the client’s failure to provide timely feedback or required materials are not the responsibility of Alisha Design.

5. Revisions and Modifications

5.1 The number of included revision rounds varies per project and will be specified in the project proposal. In most cases, two revision rounds are included.

5.2 Additional revisions beyond the agreed number will be charged at an additional fee, as specified in a supplementary agreement or invoice.

6. Intellectual Property

6.1 Full rights to the final deliverables are transferred to the client upon full payment of the agreed amount.

6.2 Alisha Design retains all rights to raw files and source materials unless otherwise agreed.

6.3 Alisha Design reserves the right to showcase completed work in its portfolio or promotional materials. If the client does not wish this, they must communicate this in writing or by email prior to the start of the project.

7. Client Responsibilities

The client is expected to provide all necessary materials, assets, and feedback in a timely manner to ensure smooth project progress. For additional services such as printing or web development, the client can either manage these independently or request Alisha Design to coordinate them. If requested, Alisha Design will arrange these services at an additional cost.

8. Cancellations and Refunds

8.1 If the client cancels the project before the deposit is paid, no fees will be charged.

8.2 If the project is canceled after the deposit has been paid, the client will be charged for the work completed up to that point. The deposit will not be refunded.

8.3 Projects may be temporarily paused upon mutual agreement, and any payments will remain on hold until the project resumes.

9. Confidentiality

9.1 Alisha Design is willing to sign a non-disclosure agreement (NDA) if required by the client.

9.2 Alisha Design is not liable for indirect damages or loss of data that are beyond her control.

10. Dispute Resolution

10.1 In the event of a dispute, Alisha Design and the client will first attempt to resolve the matter through mutual discussion.

10.2 If no agreement is reached, disputes will be subject to the exclusive jurisdiction of the courts in the Netherlands.

11. Liability

11.1 Alisha Design is not liable for indirect damages, loss of profit, or loss of data.

11.2 The client is responsible for making backups of all files provided during the project.

​

12. Governing Law

All agreements between Alisha Design and the client are governed exclusively by Dutch law.

​

13. Exclusions and Additional Services

13.1 The services of Alisha Design include the delivery of digital designs and files only. Services outside this scope, such as printing, web development, or additional coordination, are addressed as follows:

• Printing: Alisha Design delivers print-ready files but does not handle the physical production of printed materials. If requested, Alisha Design can coordinate printing with an external provider at an additional cost.

• Web Development: Website designs include only visual concepts. Web development services, such as coding or website building, can be arranged with an external developer at an additional cost.

• Other Services: Services such as custom illustrations, font licensing, photography, video production, or campaign management are not included. Alisha Design can assist in sourcing these services at an additional cost.

13.2 Any additional services will be discussed in advance and documented in an updated project proposal or invoice.

13.3 Clients are not required to use Alisha Design for additional services and may arrange these independently.

We recommend saving a copy of these Terms and Conditions for your records. Alisha Design reserves the right to update these terms; the version in effect at the time of signing shall prevail.
